Terms of Service

These Terms form a binding agreement between:

• Prodaxis — a sole-proprietorship registered as a Micro Enterprise (Udyam / MSME) in India, with GSTIN 37CAXPT6502R1ZG
• You (the “Client”) — the individual or organisation engaging Prodaxis or using prodaxis.in

If you are accepting these Terms on behalf of a company, you confirm you are authorised to bind that company.

Prodaxis provides custom software development services including:

• Web development (websites, web apps, e-commerce)
• SaaS product engineering
• IT services (cloud setup, DevOps, CI/CD, security)
• AI integrations, chatbots, and automation
• WhatsApp Business automation tooling
• Maintenance & ongoing support contracts

The exact scope, deliverables, timeline, and price for your project are documented in a separate Project Proposal / Statement of Work that you approve before work begins.

Prodaxis follows a phase-based delivery model:

• Phase 1 — Discovery & Planning: requirements, wireframes, sprint plan
• Phase 2 — Design & Prototype: UI/UX, clickable prototype
• Phase 3 — Development: implementation, integrations, testing
• Phase 4 — Deploy & Handover: launch, documentation, support transition

Each phase is invoiced separately. Work on the next phase begins only after the current phase is approved by you and the corresponding invoice is paid.

Some engagements may have additional or fewer phases as documented in your Project Proposal.

• Invoices are issued in Indian Rupees (INR) and emailed to the client's registered email
• Payments are accepted online via Razorpay (UPI, Cards, Net Banking) or bank transfer
• GST (currently 18%) applies as per Indian law and is added to the invoice if your engagement requires it
• Invoices are due within 7 calendar days of issue unless a different due date is specified on the invoice
• Late payments may attract interest of 1.5% per month, applied at our discretion
• Phase-wise advance is required before work on that phase begins (typically 30%, 20%, 30%, 20% across four phases)

For us to deliver on time and on budget, you agree to:

• Provide accurate requirements and timely access to needed assets (logos, content, brand guidelines, API keys, etc.)
• Respond to questions, designs, and review requests within 3 business days
• Designate a single point of contact authorised to approve milestones
• Pay invoices on time
• Be responsible for the legality of any content, data, or third-party services you provide to us

Project timelines may be extended proportionally if client delays exceed 5 business days cumulatively.

Custom code & deliverables: Upon full payment of all invoices for an engagement, you receive perpetual ownership and worldwide rights to use the custom-built deliverables for your business.

Until full payment is received, all IP remains with Prodaxis. Withholding payment does not transfer rights.

Pre-existing tools & libraries: Open-source libraries we use remain governed by their respective licenses (e.g. MIT, Apache, BSD). Internal Prodaxis tools, frameworks, or boilerplates remain our property — you receive a non-exclusive license to use them as embedded in your deliverable.

Showcase rights: Unless explicitly prohibited in writing, Prodaxis may showcase the project (screenshots, link, brief description, technologies used) on prodaxis.in/work and on social media for portfolio purposes. We will never disclose confidential business data or source code.

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement. This obligation survives termination of the engagement.

If your engagement requires a separate Non-Disclosure Agreement (NDA), Prodaxis is happy to sign one before discussions begin — just ask.

• Prodaxis provides 30 days of free bug-fix support after final delivery, covering defects in code we wrote
• The warranty does NOT cover: feature changes, third-party API changes, browser/OS upgrades, content edits, data migration, or issues caused by client modifications
• Beyond 30 days, ongoing maintenance is available via a separate support contract

Services are provided “as is” without any warranty of merchantability or fitness for a particular purpose beyond what is explicitly written in your Project Proposal.

To the maximum extent permitted by Indian law, Prodaxis's total liability for any claim arising from an engagement shall not exceed the total fees paid by you to Prodaxis under that engagement in the 6 months preceding the claim. Prodaxis is not liable for indirect, incidental, consequential, or special damages including loss of profit, loss of data, or business interruption.

Either party may terminate an active engagement with 7 days' written notice. Upon termination:

• You pay for all work completed up to the termination date
• Prodaxis hands over completed deliverables (subject to payment)
• Both parties return or destroy any confidential material

Prodaxis may suspend or terminate access to the client portal immediately if you breach these Terms or fail to pay an overdue invoice.

Neither party is liable for delays or failures caused by events outside their reasonable control, including natural disasters, internet outages affecting major regions, government action, war, pandemics, or acts of cyber-terrorism. The affected party will notify the other in writing as soon as practicable, and timelines will be extended by the period of the event.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Andhra Pradesh, India.

Before approaching a court, both parties agree to attempt good-faith resolution via direct negotiation for 30 days.

Prodaxis may update these Terms periodically. The “Last updated” date at the top reflects the most recent revision. For material changes, we will notify active clients by email at least 14 days before they take effect. Your continued use of services or the website after changes constitutes acceptance.
